Advanced Professional Licence

Licence status and ownership

PGAT is licensed, not sold. All intellectual property rights in the software, documentation, methodologies, and analytical frameworks remain with the Licensor at all times.

This licence grants a time-limited right to use the software. No ownership rights are transferred, and no rights are implied beyond those expressly stated in this licence.

1) Licence scope and permitted use

The Advanced Professional Licence is issued to a single named organisation and permits use of the software by its employees, officers, and authorised internal contractors for internal purposes.

Use is limited to governance, planning, audit, regulatory, and decision-support activities. The software may be run locally or within the organisation’s internal IT environment.

2) Seat entitlement

Unless otherwise agreed in writing, the Advanced Professional Licence includes up to 3 authorised user seats for the licensed organisation.

An ‘authorised user’ is an individual permitted access by the licensed organisation and acting under its authority and control.

Access by third parties, affiliates, or external clients is not permitted without a separate written agreement.

3) Licence term

The licence is granted for a fixed term of twelve (12) months from the date of issue, as determined by the licence record held by the Licensor.

Continued use of the software beyond the licence term requires renewal. Upon expiry, licence validation may restrict functionality.

4) Outputs and retention

Reports, evidence packs, and analytical outputs generated using the software may be retained by the Licensee beyond the licence term.

The licence grants no rights to the underlying software, methodologies, or source code used to produce those outputs.

5) Prohibited use

The Licensee must not sell, sublicense, distribute, or make the software available to third parties, nor use it as part of a commercial service offering without a separate agreement.

Reverse engineering, modification, circumvention of licence controls, or removal of attribution mechanisms is expressly prohibited.

6) Licence validation and enforcement

The software includes licence validation mechanisms, including periodic verification against the Licensor’s licence database when connectivity is available.

The licensed organisation is responsible for ensuring that use of the software complies with this licence, including adherence to seat limits and restrictions on third-party access.

Failure of validation due to expiry, revocation, or misuse may result in restricted or disabled functionality.

7) Liability and responsibility

The software is provided “as is”. The Licensor makes no guarantee that outputs will be accepted by any authority, regulator, inspector, or third party.

Responsibility for decisions, submissions, or reliance placed on outputs generated by the software rests solely with the Licensee.

8) Governing law

This licence is governed by and construed in accordance with the laws of England and Wales.
